Corporate/Commercial Transactions : Extensive
experience representing public and private business organizations in
a variety of transactions, including merger and acquisition services,
offerings of debt and equity securities, the acquisition and disposition
of intellectual property and other assets, venture capital transactions,
and restructuring troubled companies and investments. Represented early
stage companies from the initial stage of entity formation, through
the preparation of a private placement memorandum. Drafted and negotiated
various corporate and securities documents, including articles of incorporation,
bylaws, operating agreements, buy-sell agreements, purchase and sale
agreements, and non-compete agreements. Drafted and negotiated various
commercial agreements, including consulting agreements, service agreements,
promissory notes, security agreements, credit agreements, and related
documents. Real estate conveyances, leasing and foreclosure.
Corporate Reorganization and Bankruptcy
: Extensive experience representing debtors-in-possession in all aspects
of Chapter 11 bankruptcy cases including managing the case from the
filing of the bankruptcy petition and first day hearings through plan
confirmation and post-confirmation matters. Represented secured and
unsecured creditors on a variety of engagements including lift-stay
litigation, cash-collateral issues, claims objections and allowance,
and objections to plan confirmation. Represented entities acquiring
assets from the bankruptcy estate pursuant to motion under Bankruptcy
Code section 363 and through plans of reorganization.
Litigation : Extensive experience in
all aspects of litigation, including successfully contesting jurisdiction,
preparing and defending pre-trial motions, conducting and assisting
in all aspects of discovery, trial and appeal. Represented clients in
alternative dispute resolution, including mediation. Experience in both
state and federal courts.
